CONTRIBUTOR RELEASE

I, the undersigned, understand that in connection with its Centennial celebration, Lockheed Martin Corporation (“LMC”) has launched a “share your story” program where employees, retirees, enthusiasts and others (potentially even customers / former customers) can contribute a memory, a story, or a perspective on LMC’s history (the “Program”).  I wish to contribute the material attached herewith to LMC in connection with the Program.      

NOW, THEREFORE, in consideration for the opportunity to contribute to the Program, and for other good and valuable consideration, the receipt and adequacy of which are hereby acknowledged by me, I accept and agree to be legally bound by all of the following terms and conditions:

1. I hereby expressly grant to LMC, its affiliates and licensees, and its and their successors and assigns (collectively “LMC Entities”) a non-exclusive, irrevocable, transferable, sublicensable, fully paid up, royalty-free, worldwide and perpetual right and license:

(i)         to use, copy, reproduce, publicly display, publicly perform, broadcast, exhibit, publish, distribute, transmit, edit, modify, adapt, make derivative works based upon, and otherwise exploit (whether commercially or non-commercially), in whole or in part, my submission and any and all literary, musical, audio, audiovisual, visual, photographic, pictorial, graphic, dramatic, choreographic, and/or other works and elements therein and thereof (collectively “My Submission”), in any and all media now known or hereafter devised (including, without limitation, print, television, radio, electronic, digital, internet, mobile, wireless, and interactive media) (collectively “All Media”) and for any and all purposes of LMC Entities (including, without limitation, advertising, promotion, marketing, merchandising, and commercial tie-in) (collectively “All Purposes”); and

(ii)        to use my name (including my stage name and my former name, if any), likeness, images, photos, portraits, voices (whether spoken or singing), appearances, performances, biographical information, life stories, personal events, signatures, and all other elements of my identity as contained or embodied in My Submission (collectively “My Identification”), in All Media and for All Purposes.

All of the uses described in (i) and (ii) above are referred to hereinafter collectively as “Licensed Uses.”

I hereby expressly acknowledge and agree that: (i) My Submission is entirely voluntary and is NOT made based upon or in response to any solicitation, invitation, representation, warranty, or statement made by any LMC Entities or any of their officers, directors, employees, agents or representatives, or any other person acting on their behalf; (ii) LMC Entities will have NO obligation whatsoever to use My Submission (in whole or in part) or My Identification (in whole or in part) in any manner or for any purpose, and any use (non-use) thereof will be at the sole and complete discretion of LMC Entities, for which I will NOT be entitled to any right of approval, consent, notice or inspection whatsoever (except for a name credit that identifies me as the contributor); (iii) I will NOT be entitled to claim or receive (and I have no expectation, and no promise has been made to me by any LMC  Entities, that I will or may receive) any form of compensation (monetary or otherwise) from any LMC Entities based upon or by reason of My Submission, My Identification, or any Licensed Uses thereof; and (iv) by making My Submission, I have and shall be deemed to have waived all claims to compensation against LMC Entities with respect to My Submission, My Identification and any and all Licensed Uses thereof.
2.  

1. I hereby expressly and irrevocably waive any and all claims against LMC Entities based upon any “moral rights” I may now or hereafter have in My Submission or in My Identification anywhere in the world.  As used herein, the term “moral rights” shall mean the rights to (i) divulge a work to the public, (ii) retract a work from the public, (iii) claim authorship of a work, and (iv) prevent any distortion, mutilation, or other modification of a work; the term shall include any and all similar rights existing under the laws of any country or jurisdiction in the world, or under any international treaties, regardless of whether such rights are generally referred to as “moral rights.”
2.  

1. I hereby represent and warrant that: (i)  I am at least 18 years of age [and a legal citizen or permanent legal resident of the United States]; (ii) to the best of my knowledge and belief, all statements of facts made and all information provided in or in connection with My Submission are true and accurate; (iii) My Submission is entirely my original and independent creation; (iv) I am the sole creator of My Submission and own and control all right, title and interest (including all copyrights) therein and thereto; (v) My Submission does not use, contain, depict or otherwise identify any proprietary, confidential, export controlled, or classified information or data, or data subject to an Organizational Conflict of Interest restriction, or any materials subject to copyright, trademark, trade dress or other property of any other person or entity (except for the mention of LMC and its products and services); (vi) I have secured a signed Participant Release (in the form provided by LMC) from each person (other than myself) whose identity is used, portrayed or otherwise identifiable in My Submission, and a true and complete copy of each such executed release is included herewith, and I will furnish the original thereof to LMC upon request; (vii) My Submission does not contain any defamatory, libelous, illegal, obscene, sexual, violent or abusive material or content (including language used therein); and (viii) My Submission, if submitted as a computer or digital file, does not contain any virus, spyware, malware, or other harmful or invasive program, code or software.
2.  

1. I hereby forever release and discharge (to the fullest extent permitted by applicable laws), and expressly agree to indemnify, defend and hold harmless, all LMC Entities and all their officers, directors, employees, agents and representatives from and against any and all claims, demands, causes of action, liabilities and damages arising from or related to My Submission, My Identification, or any Licensed Uses thereof, including, without limitation, those for libel, defamation, invasion of privacy, false light, violation of right of publicity, infringement of copyright, infringement of trademark or trade dress, or violation of any other personal or property right.
2.  

1. This Submission Release shall be binding upon my heirs, successors, assigns, representatives, administrators and executors.  This Submission Release and any and all controversies and disputes arising hereunder or related hereto shall be governed by and construed in accordance with the laws of the United States and the laws of the State of Maryland (excluding its conflict of laws provisions).
2.  

I HAVE BEEN GIVEN AMPLE OPPORTUNITY TO READ, AND I HAVE CAREFULLY READ, THIS ENTIRE SUBMISSION RELEASE.  I HAVE REVIEWED THIS SUBMISSION RELEASE WITH MY OWN COUNSEL PRIOR TO SIGNING OR, IN THE ALTERNATIVE, I HAVE BEEN GIVEN A REASONABLE OPPORTUNITY TO CONSULT WITH COUNSEL OF MY CHOICE REGARDING THIS SUBMISSION RELEASE PRIOR TO SIGNING AND I HAVE VOLUNTARILY AND ON MY OWN ACCORD DECLINED SUCH OPPORTUNITY.

PARTICIPANT RELEASE

I, the undersigned, understand that in connection with its Centennial celebration, Lockheed Martin Corporation (“LMC”) has launched a “share your story” program where employees, retirees, enthusiasts and others (potentially even customers / former customers) can contribute a memory, a story, or a perspective on LMC’s history (the “Program”) and that my identity is used in the Program submission to which this Participant Release is attached (the “Subject Submission”).      

NOW, THEREFORE, in consideration for the opportunity to be identified in the Subject Submission, and for other good and valuable consideration, the receipt and adequacy of which are hereby acknowledged by me, I accept and agree to be legally bound by all of the following terms and conditions:

1. I hereby expressly grant to LMC, its affiliates and licensees, and its and their successors and assigns (collectively “LMC Entities”) a non-exclusive, irrevocable, transferable, sublicensable, fully paid up, royalty-free, worldwide and perpetual right and license to use my name (including my stage name and my former name, if any), likeness, images, photos, portraits, voices (whether spoken or singing), appearances, performances, biographical information, life stories, personal events, signatures, and all other elements of my identity as contained or embodied in the Subject Submission (collectively “My Identification”), in any and all media now known or hereafter devised (including, without limitation, print, television, radio, electronic, digital, internet, mobile, wireless, and interactive media) and for any and all purposes of LMC Entities (including, without limitation, advertising, promotion, marketing, merchandising, and commercial tie-in) (collectively “Licensed Uses”).
2.  

1. I hereby expressly acknowledge and agree that: (i) My Identification in the Subject Submission is entirely consensual and voluntary and is NOT based upon or in response to any solicitation, invitation, representation, warranty, or statement made by any LMC Entities or any of their officers, directors, employees, agents or representatives, or any other person acting on their behalf; (ii) LMC Entities will have NO obligation whatsoever to use the Subject Submission (in whole or in part) or My Identification (in whole or in part) in any manner or for any purpose, and any use (non-use) thereof will be at the sole and complete discretion of LMC Entities, for which I will NOT be entitled to any right of approval, consent, notice or inspection whatsoever; (iii) I will NOT be entitled to claim or receive (and I have no expectation, and no promise has been made to me by any LMC  Entities, that I will or may receive) any form of compensation (monetary or otherwise) from any LMC Entities based upon or by reason of My Identification in the Subject Submission or any Licensed Uses thereof; and (iv) by My Identification in the Subject Submission, I have and shall be deemed to have waived all claims to compensation against LMC Entities with respect to My Identification in the Subject Submission and any and all Licensed Uses thereof.

1.
